Question:
Dear Respected Mufti Sahib:
Assalamu Alaikum Wa Rahmatullahi Wa Barakatuh,
We are writing to seek your scholarly guidance regarding the following situation:
CONTEXT
There is a musalla operated by a society. The society has 5 board members, 1 of whom is person X.
Person X wishes to establish a masjid in this city and has been collecting donations for that purpose for some time without a specific property or plan in mind.
A very good property for this purpose was up for sale in the neighborhood and person X spends 6+ months soliciting donations, qard hasanas, and Islamic financing options from various individuals and organizations in the region and beyond – nothing comes to avail from this effort.
When the property finally goes to foreclosure bidding, person X takes out a $3 million interest-bearing loan from a private lender, financed against his own assets, to purchase the property for $2.8 million.
The property is purchased under an incorporated entity entirely separate from the society. The incorporated entity is controlled by person X and his spouse.
The transactions made to date are as follows:
- $3 million loan from private lender to incorporated entity.
- $2.8 million from incorporated entity to the bank to purchase the property at foreclosure bid.
- $260k from incorporated entity to private lender as pre-payment of 10 months of interest payments.
- $130k from musalla’s society to lawyer’s trust to pay legal fees for transaction (sale to incorporated entity).
Person X wishes to sell the property to the society, interest-free and without making any profit, for the purpose of establishing a masjid.
The society wishes to refrain from interest in the establishment of the masjid.
QUESTION:
Is it permissible for the society to purchase the property from the incorporated entity for the purpose of building a masjid?
If so, how should this sale be structured? Are you able to assist in drafting the specific sale contract?
Jazak Allah khayr for your time and assistance in this regard.
Follow up questions:
- Can Person X, who is selling this property to the Musallah Committee, structure the contract with different prices depending on the payment date (for example, one price if paid by a certain date and a higher price if paid later)? The reason for this is that Person X’s loan payments may change in case of default, and he wants to protect himself against that increase.
- If person X recuses himself from, or is removed from, the board and thereafter the musalla’s society independently decides to purchase the property from the incorporated entity (controlled by person X), would that make the sale permissible?
Answer:
In the Name of Allah, the Most Gracious, the Most Merciful.
As-salāmu ʿalaykum wa-rahmatullāhi wa-barakātuh.
It is a majour sin to engage in interest (Riba) transaction. It is so severe that Allah has declared war on those who persist in it. After commanding the believers to give up interest, Allah warns that if they do not, they should “be warned of a war from Allah and His Messenger” (Sūrah Al-Baqarah: 279). This is one of the strongest warnings in the Qur’an.
The Prophet ﷺ cursed the one who consumes interest, the one who feeds it (pays it), the one who records it, and the two witnesses to it. He ﷺ said: “They are all the same.” (Muslim)[1]
Thus, if this arrangement of buying a house on interest and then selling it to the musalla committee was pre-planned, it is a majour sin and those assisting in this purchase whether by collecting funds, managing administrative tasks, etc are complicit in this sin.
A masjid must be established on piety (Taqwā) and seeking Allah’s pleasure (Riḍwān).
Allah تعالى says in Sūrah at-Tawbah:
{ لَا تَقُمۡ فِیهِ أَبَدࣰاۚ لَّمَسۡجِدٌ أُسِّسَ عَلَى ٱلتَّقۡوَىٰ مِنۡ أَوَّلِ یَوۡمٍ أَحَقُّ أَن تَقُومَ فِیهِۚ فِیهِ رِجَالࣱ یُحِبُّونَ أَن یَتَطَهَّرُوا۟ۚ وَٱللَّهُ یُحِبُّ ٱلۡمُطَّهِّرِینَ (108) أَفَمَنۡ أَسَّسَ بُنۡیَـٰنَهُۥ عَلَىٰ تَقۡوَىٰ مِنَ ٱللَّهِ وَرِضۡوَ ٰنٍ خَیۡرٌ أَم مَّنۡ أَسَّسَ بُنۡیَـٰنَهُۥ عَلَىٰ شَفَا جُرُفٍ هَارࣲ فَٱنۡهَارَ بِهِۦ فِی نَارِ جَهَنَّمَۗ وَٱللَّهُ لَا یَهۡدِی ٱلۡقَوۡمَ ٱلظَّـٰلِمِینَ (109) لَا یَزَالُ بُنۡیَـٰنُهُمُ ٱلَّذِی بَنَوۡا۟ رِیبَةࣰ فِی قُلُوبِهِمۡ إِلَّاۤ أَن تَقَطَّعَ قُلُوبُهُمۡۗ وَٱللَّهُ عَلِیمٌ حَكِیمٌ (110) }
“Never stand [to pray] within it. Indeed a Masjid founded on righteousness from the very first day is more worthy that you stand in it. In it are men who love to purify themselves; and Allah loves those who purify themselves.
Is one who laid the foundation of his building on righteousness from Allah and [seeking] His pleasure better, or one who laid the foundation of his building on the edge of a crumbling cliff that collapsed with him into the fire of Hell? And Allah does not guide the wrongdoing people.”
This was revealed regarding Masjid al-Ḍirār, the Masjid the Hypocrites had built in Madinah. Nevertheless, it gives us an important principle that the foundation of the masjid should be based on piety and seeking Allah’s pleasure. What reward can one expect to gain from establishing a masjid through interest whether the interest is a direct or indirect cause for acquiring the masjid?[2]
Even before the prophethood (Nubuwwah), the Quraysh recognized that sacred places require absolute purity. They decided to only use pure wealth for the renovation of the Ka’bah. As their pure funds fell short, they were unable to restore its original, elongated rectangular foundation. Thus, they built the structure in a cube shape and left the semi-circular section (Hateem) outside the main walls. The Prophet (ﷺ) later confirmed this to ‘A’ishah (may Allah be pleased with her), explaining that her people’s financial resources (nafaqah) fell short of completing it upon its true foundations.[3]
There are eight issues of concern:
- Person X taking out a an interest bearing loan
- Person X buying property with loaned money
- Use of Musalla Funds for Legal Fees
- Person X selling this property to Musalla Committee
- Person X selling with time-based tiered pricing
- Person X being on the Musalla Committee
- If the Musalla Committee purchases this property from Person X and makes intention of waqf/masjid
- Core Qualifications of a Masjid/musalla Administrator/Board Member
Issue # 1: Person X taking out a an interest bearing loan
Taking out a Riba loan is impermissible and a major sin. Assisting in sin is also a sin.
Allah تعالى says in Surah Al-Mā’idah:
{ وَتَعَاوَنُوا۟ عَلَى ٱلْبِرِّ وَٱلتَّقْوَىٰ ۖ وَلَا تَعَاوَنُوا۟ عَلَى ٱلإِثْمِ وَٱلْعُدْوَٰنِ ۚ (2)}
“And help each other in righteousness and piety and do not help each other in sin and transgression.”
Issue # 2: Person X buying property with loaned money
If person X acquires the property through a interest-based loan, property ownership would be established as the money used to acquire the property is Halal. However, paying interest on the borrowed amount is impermissible.[4]
Issue # 3: Use of Musalla Funds for Legal Fees
Person X is liable to repay the Musalla Committee $130,000. These funds were held as a trust (amanah) on behalf of the community, yet they were used for an impermissible purpose. The Committee never authorized Person X to take out the loan, and the money was used to purchase a property registered in his own name. That property is therefore his personal asset and cannot be attributed to the Committee, which neither instructed the purchase nor acquired ownership of the property.[5]
Issue # 4: Person X selling this property to Musalla Committee
If Person X sells the property to the Musalla Committee and both parties consent to the transaction, the sale is valid as long as it is free of impermissible clauses. Ownership of the property will then transfer to the Musalla Committee.[6]
Issue # 5: Person X selling with time-based tiered pricing
Answer to Follow-Up Question #1
The transaction price must be fixed and cannot change for any reason. Charging additional fees for late payment is impermissible. Likewise, the contract cannot be structured with tiered pricing, where the price differs depending on the date of payment. This also means that if Person X defaults on his loan payments and incurs interest as a result, he may not pass those costs on to the Musalla Committee.[7]
Issue # 6: Person X being on the Musalla Committee
For the second transaction to be valid, the buyer and seller must be distinct parties. Accordingly, Person X, as described in the question, must either step down from the Musalla Committee or recuse himself entirely from any decision-making on whether the Committee should purchase the property.[8]
Issue # 7: If the Musalla Committee purchases this property from Person X and makes intention of waqf/masjid
If the Musalla Committee purchases this property from Person X and establishes it as a waqf, the structure becomes and remains a valid masjid, subject to all applicable Islamic legal rulings (ahkam).
The original Masjid al-Dirar mentioned in the Quran refers to a masjid regarding which definitive proof (qati’i daleel) is established that there was no intention of actually building a masjid; rather, it was built solely under the guise of a masjid to harm Islam. Thus, calling any modern masjid ‘Masjid al-Dirar’ is an extreme classification because it implies the structure is not a masjid at all and should be destroyed (as occurred with the historical Masjid al-Dirar built by hypocrites in Madina).
The established principle is this: If an act of obedience (such as building a masjid) is done with a improper or sinful motive (such as prejudice, causing division, facilitated by a Riba transaction), the person committing the act becomes a sinner. Nevertheless, the masjid itself remains a valid masjid with all its necessary legal rulings intact.
Answer to Follow-Up Question #2
However, if the Musalla Committee independently decides to purchase the property from Person X, without any involvement or influence from him, the sale would be permissible, since the Committee neither approved nor pre-planned the riba-based loan Person X entered into.[9]
Issue # 8: Core Qualifications of a Masjid/musalla Administrator/Board Member
It is necessary for Board Members to be pious individuals which abstain from majour sins, including involvement in interest transactions. Any Board Member or Trustee who commits a majour sin without sincere repentance disqualifies himself from that position. The musalla committee moving forward should repent from involving themselves in interest and consult qualified scholars throughout their processes to prevent future errors.[10]
